A this agreement by and between A.V.T. (Advanced Video Technology, Inc.) a Florida corporation (hereinafter seller and party listed hereinafter buyer)
B Witnesseth that in consideration of mutual understanding herein contained, the parties agree as follows:
1 Sale: seller agrees to sell and buyer agrees to buy the parts, equipment and services listed (hereinafter "products") in accordance with the terms and conditions set forth herein which is part of this agreement
Delivery: for the purposes of this agreement the term "delivery" shall mean the delivery of products to the carrier for loading and transportation to the buyer. Seller shall prepare the products for shipment as directed by the buyer and shall cause the products to be transported buyer "s assigned destination address by common carrier
2B all costs for packaging, handling, insurance, import and export taxes and transportation to and from seller or seller and third party shall be borne by the buyer and buyer shall bear the risk of all losses and damage from fire, theft, the elements, shipping damage destruction or loss or otherwise from the time the loading of products commences. If buyer refuses a shipment, seller's freight charges and handling charges will be paid by the buyer
3A conditions: buyer authorizes that all repairs be in accordance with the quoted price and that employees and or subcontractors of seller may operate the unit herein described for the purpose of testing and or inspection. An expressed mechanics lien is hereby acknowledged on the described item to secure the cost of repairs rendered thereunto, including all parts utilized in said repair. Seller will not be responsible for losses due to fire and theft or elements. There will be a storage charge of $l.00 a day per unit or on product left or returned unpaid after 30 days when repairs are rendered. Seller will not be responsible for any accessories left or any cosmetic damage to product. A $50.00 service charge will be added plus applicable legal charges to all returned checks, stop payments and credit card chargebacks.+ v cBuyer will be responsible for paying all sales taxes if applicable. Seller will not be responsible for data or software left on hardrives, floppies and other media, nor for training or installation of new software for the retrieval. It is the Buyer's responsibility before it is brought to seller's premises.
3B exchanges: If a defective part or equipment is sent or brought in for exchange, the defective exchanged part will become the property of the seller, regardless of whether the part is defective or not. There will be no refunds nor credits on Buyer's mis diagnosis of exchange parts.
3C spare parts: Spare parts for purchase or exchange may be either new or refurbished. Part sales are treated as an NCNR special order. Customer agrees to purchase from Advanced Video Technology, Inc., (AVT USA) the products subject of the purchase order or website order form described as "product' on a non-cancellable, nonreturnable and non-rescheduable basis (NCNR) . Customer agrees that it shall not : (a) cancel any order for the products, (b) return any of the products (unless they are defective and otherwise covered by warranty under our standard terms and conditions to be handled and set forth therein), or (c) reschedule the original delivery dates for any of the products. Customer shall pay the full purchase price of the products to be invoiced as of the original schedule date even if customer refuses or reschedules delivery in violation thereof.
4 warranty: Products may be sold as is or 30 day warranty on service and repairs. Labor is warranted for 30 days only. Sellers limited warranty will cover parts replaced only. Warranty period begins when repair of product is completed or ready to be or has been shipped to buyer. Buyer must provide proof of purchase to claim warranty. No other forms will Be accepted. Seller's warranty does not cover failures due to improper installation of product by untrained personnel, nor software application problems, incompatibility, misuse, neglect, abuse, improper handling, shipping damage, cosmetic damage, acts of God and elements. Seller will not be liable for any direct, indirect, consequential, or accidental damage, or accidental damages including but not limited to lost profits, downtime, damage to other equipment, and property loss of data, or productivity and any other cost that may be incurred.
5 manufacturer's warranty: Products that carry manufacturer's warranty and manufacturer declines payment to seller will become the responsibility of buyer to pay for parts and services rendered. Freight charges to and from service center are not covered by the warranty.
6 returns: No returns for restocking allowed. Defective parts will be exchanged or repaired providing warranty conditions have been met. No refunds on labor or freight charges. There will be a charge for testing all parts returned under warranty with no problem found. Buyer is responsible for all part number accuracy. All parts sales will be final. No returns for refund or credit will be allowed on any electronic or spare parts. We will not accept returns for wrong parts ordered. There will be a minimum charge for all products sent to us, whether it Is repaired or not.
7A applicable laws: This agreement shall be governed by and construed in accordance with the laws of the state of Florida, including all matters of construction, validity, performance and enforcement. Venue for any proceeding brought to enforce this agreement shall be BROWARD OR PALM BEACH County, Florida, and buyer agrees to pay all collections, attorney fees and court costs incurred in the course of legal actions plus cost of disputed invoices and all other relief that may be ordered in court.
7B Buyers or buyers agents by signing this document issuing a purchase order, telephone order or ordering on our website, or taking delivery of the above listed products constitutes full agreement with seller's terms and conditions. No other language concerning terms and conditions included but not limited to customer purchase order. Visa, MasterCard and American Express terms will supersede our terms and conditions, which can be subject to change without notice. `
8 entire agreement This constitutes the entire agreement of the parties with respect to the purchase and sale of the products and no statement or representation not made a part hereof shall be binding upon seller or buyer as a warranty or otherwise, unless in writing and executed by the party to be bound thereby. The language included in this document is copyrighted material, the property of Advanced Video Technology, Inc. Legal Department. Copying or duplication is prohibited.
